Terms of Service

Effective date: 27 June 2026

1. Parties and acceptance

These Terms of Service ("Terms") govern your use of the Maktaby software-as-a-service platform ("Platform") operated by Maktaby ("we", "us"). By registering an account or using the Platform you ("Operator") confirm that you are at least 18 years old, are duly authorised to enter into binding agreements on behalf of your business, and accept these Terms in full.

Maktaby is a B2B platform. These Terms govern the relationship between Maktaby and Operators (workspace managers, business-centre owners, and business-setup consultancies). The relationship between Operators and their end-members is governed by the Operator's own agreements with those members.

2. The Platform

Maktaby provides tools for:

  • Workspace and resource booking management
  • Member management and billing
  • Virtual office subscriptions and mail management
  • Business-setup CRM (leads, proposals, licence applications)
  • PRO services workflow (visa processing, attestations, government liaison)
  • VAT invoicing (UAE 5% / KSA 15%), ZATCA e-invoicing (KSA)
  • WhatsApp Business messaging

3. PRO services and business-setup disclaimer

Important — read carefully before enabling these modules.

Maktaby is a workflow and document management platform only. It is not a law firm, immigration consultant, company formation agent, or PRO services provider.

  • Visa applications, company formation, attestations, Qiwa/Muqeem submissions, and all other government-liaison activities are performed by you (the Operator) or your licensed partners, not by Maktaby.
  • Maktaby does not provide legal or immigration advice and accepts no liability for application outcomes, government decisions, rejection of licences, visa refusals, or fines arising from non-compliance with UAE Labour Law, MISA regulations, DED rules, or any other regulatory body.
  • You are solely responsible for ensuring that all services you deliver to your clients comply with applicable law in the UAE, Saudi Arabia, or any other jurisdiction in which you operate.
  • Ensure your PRO agents hold valid UAE or KSA authorisation credentials before handling government submissions.

4. Subscription and payment

  • Platform subscriptions are billed monthly or annually in USD via Dodo Payments, Inc., which acts as the Merchant of Record for all operator subscription transactions. By subscribing, you agree to Dodo Payments' Terms and Privacy Policy.
  • Member invoice payments (your members paying you for bookings, plans, etc.) are processed via Tap Payments or Moyasar. Those transactions are between you and your members; Maktaby facilitates the payment flow but is not a party to those transactions.
  • All prices are exclusive of local VAT unless stated otherwise. Where applicable, VAT is added at checkout at the rate applicable in your jurisdiction.
  • Subscriptions auto-renew. You may cancel at any time via Dashboard → Settings → Billing. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued unless required by applicable consumer law.
  • Maktaby reserves the right to change prices with 30 days' notice. Your continued use after the notice period constitutes acceptance of the new price.

5. Plan limits and fair use

Each subscription plan includes limits on members, resources, and locations as described on the Pricing page. Attempting to circumvent these limits (e.g. by creating multiple accounts) may result in account suspension.

6. Data and privacy

By using the Platform you agree to our Privacy Policy. As an Operator you are the data controller for your members' personal data; Maktaby acts as your data processor. You are responsible for:

  • Obtaining valid consent from your members before collecting their government IDs, passport numbers, or Iqama numbers.
  • Complying with UAE PDPL and KSA PDPL obligations towards your members, including providing access, portability, and erasure rights.
  • Ensuring WhatsApp messages sent via the Platform are limited to members who have explicitly opted in.
  • AML/KYC compliance for all company-formation and PRO-service clients.

7. Data retention and KSA ZATCA

Tax invoices generated via the Platform are retained for the minimum period required by the jurisdiction that issued them: 5 years for the UAE under the UAE Tax Procedures Law, and 6 years from the end of the relevant tax period for Saudi Arabia under ZATCA record-keeping rules. You may not request deletion of invoice records within this retention period.

8. Acceptable use

You must not use the Platform to:

  • Submit fraudulent or forged documents to government authorities.
  • Process visa or company formation applications on behalf of individuals not legally entitled to the services sought.
  • Violate any applicable law including UAE Labour Law, MISA regulations, KSA Nitaqat, or AML law.
  • Interfere with or attempt to circumvent the Platform's security, rate limits, or multi-tenant isolation.
  • Resell access to the Platform without Maktaby's prior written consent.

Violation of acceptable use may result in immediate account suspension without refund.

9. Intellectual property

The Platform and all related software, designs, and documentation are the intellectual property of Maktaby. These Terms grant you a non-exclusive, non-transferable licence to use the Platform for your internal business purposes only. You may not copy, modify, reverse-engineer, or redistribute any part of the Platform.

10. Limitation of liability

To the maximum extent permitted by applicable law, Maktaby's total liability to you for any claim arising from these Terms or your use of the Platform is limited to the fees you paid to Maktaby in the three months preceding the event giving rise to the claim.

Maktaby is not liable for: (a) visa rejections, licence refusals, or government decisions; (b) loss of revenue arising from system downtime; (c) data loss caused by your own actions; (d) any indirect, consequential, or punitive damages.

11. Termination

Either party may terminate these Terms on 30 days' written notice. Maktaby may suspend or terminate your account immediately if you breach these Terms, fail to pay amounts due, or if required by applicable law. Upon termination, you may export your data for 30 days before it is deleted (subject to legal retention requirements for financial records).

12. Governing law and disputes

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), UAE. Any dispute arising from these Terms shall be referred to the DIFC Courts. If you are based in Saudi Arabia, local mandatory consumer-protection laws apply to the extent they cannot be excluded.

13. Changes to these Terms

We may update these Terms to reflect platform changes or regulatory requirements. Material changes will be notified by email and in-app with at least 14 days' notice. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
